1. Acceptance of Terms

By accessing and using AI Plus Systems ("AI Plus," "we," "our," or "us"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use our services.

These terms apply to all visitors, users, and others who access or use the service. By using our platform, you represent that you are at least 18 years of age or have the consent of a legal guardian.

2. Use License

Subject to your compliance with these Terms, AI Plus grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the AI Plus platform for your internal business purposes
• Create and manage AI agents within your organization
• Integrate the platform with your existing systems and workflows
• Access analytics, insights, and predictions generated by our AI models

This license does not include any rights to:

• Modify, copy, or create derivative works of the platform
• Reverse engineer, decompile, or disassemble any part of the service
• Remove or modify any proprietary notices or labels
• Use the platform for any illegal or unauthorized purpose
• Resell, lease, or sublicense access to the platform

3. Account Registration and Responsibilities

To use certain features of AI Plus, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You are solely responsible for maintaining the confidentiality of your account credentials. AI Plus is not liable for any loss or damage arising from your failure to protect your account information.

4. Acceptable Use Policy

You agree not to use AI Plus to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any harmful, threatening, abusive, or defamatory content
• Upload malware, viruses, or any malicious code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the platform or servers
• Use automated systems (bots, scrapers) without permission
• Impersonate any person or entity
• Collect or harvest user information without consent
• Engage in any form of spam or unsolicited communication
• Use the platform to train competing AI models

We reserve the right to investigate and take appropriate legal action against anyone who violates this policy, including suspension or termination of service.

5. Payment Terms

5.1 Subscription Plans

AI Plus offers various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to pay all fees associated with your selected plan.

5.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selection. All payments are processed securely through Stripe. You authorize us to charge your payment method on file for all subscription fees.

5.3 Beta Pricing

Beta testers who sign up during the first 90 days receive a 50% discount that is locked in for the lifetime of their subscription, as long as they maintain continuous service. This promotional pricing may be discontinued at any time for new customers.

5.4 Refunds

We offer a 14-day money-back guarantee for new subscribers. Refund requests must be submitted within 14 days of your initial purchase. Annual subscriptions are non-refundable after the initial 14-day period.

5.5 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide at least 30 days' notice of any price increases.

6. Intellectual Property Rights

The AI Plus platform, including all content, features, functionality, software, code, and design, is owned by AI Plus Systems and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.1 Your Content

You retain all rights to the data and content you upload to AI Plus. By uploading content, you grant us a limited license to process, store, and analyze your data solely for the purpose of providing our services.

6.2 AI-Generated Content

You own the output generated by AI agents you create. However, we reserve the right to use anonymized and aggregated data to improve our AI models and services.

7. Data Privacy and Security

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy. By using AI Plus, you consent to our data practices as outlined in the Privacy Policy.

We implement industry-standard security measures including encryption (TLS 1.3 and AES-256), access controls, regular security audits, and SOC 2 Type II compliance to protect your data.

8. Service Availability

We strive to provide 99.9% uptime, but we do not guarantee uninterrupted access to our services. The platform may be unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency maintenance or security updates
• Force majeure events beyond our control
• Third-party service provider outages

We are not liable for any losses or damages arising from service interruptions or downtime.

9. Termination

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your access will continue until the end of your current billing period
• You will not be charged for subsequent periods
• Your data will be retained for 30 days for recovery
• After 30 days, your data will be permanently deleted

We reserve the right to suspend or terminate your account immediately if you:

• Violate these Terms of Service
• Engage in fraudulent activity
• Fail to pay fees when due
• Use the platform in a manner that causes harm to others

10. Disclaimers and Limitation of Liability

10.1 Service "As Is"

AI PLUS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 AI Accuracy

While our AI models are designed to provide accurate insights and predictions, we do not guarantee the accuracy, completeness, or reliability of any AI-generated content. You should always verify important information and use your professional judgment when acting on AI recommendations.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI PLUS SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION; (D) ANY BUGS, VIRUSES, OR THE LIKE THAT MAY BE TRANSMITTED; OR (E) ANY ERRORS OR OMISSIONS IN ANY CONTENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless AI Plus Systems, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the platform.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of AI Plus shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

You and AI Plus agree to waive any right to a jury trial or to participate in a class action.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification to registered users
• Displaying a notice on the platform

Your continued use of AI Plus after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must discontinue using the service.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and AI Plus Systems concerning your use of the service.
